Intel Prices Upsized $20 Billion Stock Offering at $95 Per Share

Intel Corporation announced on August 10, 2026, that it is conducting an underwritten public offering of common stock, initially targeting $15 billion but subsequently upsized to approximately $20 billion. The offering prices 210.5 million shares at $95 each, with an expected close date of August 12, 2026. The company has also granted underwriters a 30-day option to purchase up to an additional $2.25 billion of shares. J.P. Morgan, Goldman Sachs, Morgan Stanley, and Citigroup are serving as joint book-running managers.

Use of Proceeds

Intel intends to use the net proceeds for general corporate purposes, including capital expenditures and working capital. The company specifically cited opportunities in physical AI, purpose-built silicon, advanced packaging, and external wafer manufacturing as growth areas that the offering will help fund. Intel stated that the capital raise is designed to pursue growth opportunities while maintaining a strong balance sheet and its commitment to an investment-grade credit rating.

The timing follows a period of significant share price appreciation. Intel’s stock has nearly tripled in 2026, recently trading around $101.65 before the offering announcement. The $95 pricing represents a modest discount to recent trading levels. Following the announcement, Intel shares fell more than 4% in early trading, a typical market reaction to dilutive equity offerings.

Capital Expenditure Context

Intel’s CFO, David Zinsner, said the company now expects 2026 capital expenditures to exceed $20 billion, up from a prior forecast of $18 billion. Zinsner also indicated that 2027 capital expenditures will see a « meaningful increase. » Most of the spending is directed toward factory tooling, as Intel scales its manufacturing capacity to meet rising demand.

The demand environment that Intel describes is driven by what it calls « unprecedented investment in AI compute. » The company’s data center segment revenue rose 59% last quarter, more than twice Intel’s overall revenue growth rate. Intel has also pointed to the shift toward agentic AI, where autonomous agents carry out tasks such as computer coding, as a driver of CPU demand beyond what the company’s current manufacturing capacity can support.

Product Roadmap and Competitive Position

The capital raise comes as Intel attempts to execute on an ambitious product roadmap while recovering from missteps with its previous generation. The company’s Arrow Lake desktop CPUs, launched in late 2024, underperformed expectations in gaming workloads and drew criticism for pricing. Intel’s CFO has openly acknowledged that the company « fumbled the football » with Arrow Lake, particularly on the high-performance desktop side.

Intel’s next-generation client CPUs, Nova Lake for desktops and Panther Lake for laptops, are expected to launch in late 2026. Nova Lake is widely rumored to feature a new socket (LGA 1954), up to 52 total cores, and a « bLLC » (Big Last-Level Cache) design intended to compete with AMD’s 3D V-Cache. Panther Lake will be the first mass-produced chip on Intel’s 18A process node, which introduces backside power delivery. Both generations are viewed as critical to regaining market share lost to AMD.

Financial History

The offering is notable given Intel’s past capital allocation decisions. The company spent approximately $82 billion on share buybacks during the 2010s, a period when critics argue Intel prioritized financial engineering over manufacturing investment. The current equity raise effectively reverses some of that capital return, issuing new shares to fund the foundry expansion that Intel now views as essential to its future.

Intel has also undergone significant workforce reductions, laying off approximately 40,000 employees over the past two years as part of a broader restructuring effort. The company has stated it remains disciplined in capital deployment, aligning investments with customer demand and clear return expectations.
